Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and James Borzilleri ("we," "us," "our," or "Site Operator") governing your access to and use of the Open Compliance Project website and all related services, features, content, and applications (collectively, the "Services").

BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED BY REFERENCE. If you do not agree to these Terms, you may not access or use the Services. • Loss of profits, revenue, data, goodwill, or business opportunities

• Business interruption or loss of use
• Personal injury or property damage
• Regulatory fines, penalties, or enforcement actions

Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services (collectively, "Disputes") shall be resolved through binding arbitration, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the Dispute between you and us individually. To the full extent permitted by law, (a) no arbitration or proceeding shall be joined with any other; (b) there is no right or authority for any Dispute to be arbitrated or resolved on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Arbitration Procedures: The arbitration shall be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association (AAA). The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

Opt-Out: You have the right to opt out of this arbitration provision by sending written notice of your decision to opt out within 30 days of first accepting these Terms. If you do not opt out, you will be bound by this arbitration provision.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which James Borzilleri resides, without regard to its conflict of law provisions.

For any Disputes not subject to arbitration, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in the applicable jurisdiction, and waive any jurisdictional, venue, or inconvenient forum objections.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, such provision shall be severed from these Terms. The validity, legality, and enforceability of the remaining provisions shall not be affected or impaired.

Entire Agreement

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and us regarding the Services and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding the Services.

Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. We may assign, transfer, or delegate these Terms and our rights and obligations without restriction. Any attempted assignment in violation of this section shall be null and void.

Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
